GENERAL TERMS AND CONDITIONS
for concluding purchase contracts in the online shop on the servers ……
I. Introductory Provisions
1.These General Terms and Conditions, hereinafter the “GTC”, govern the rights and obligations of the parties to a purchase contract concluded at a distance via the e-shop Alexim server between the seller, Alexim spol. s r.o., a company registered in the Commercial Register maintained by the Municipal Court in Prague, and the buyer. Owner of the e-shop Alexim server: ALEXIM spol. s r.o., Company ID 45276099, with its registered office at Václavkova 176/2, Prague 6.
-
2.The seller conducts business on the basis of a trade licence issued on 6 May 1992 by the Prague 6 Municipal District; place of business (address of the seller’s premises): Václavkova 176/2, Prague 6. shop@alexim.cz, tel. 00420 233337206
-
These GTC apply to the purchase of goods via the seller’s online shop at www.alexim.cz (hereinafter the “e-shop”).
-
The buyer may be a consumer or a business.
-
A consumer is a natural person who concludes a contract with the seller or otherwise deals with the seller outside the scope of their business activity or outside the scope of the independent exercise of their profession.
-
A business is a person who independently carries out a gainful activity on their own account and responsibility as a trade or in a similar manner with the intention of doing so continuously for profit, or a person whom the law considers to be a business.
-
The rights and obligations of the seller and the buyer not expressly governed by these GTC are governed by the relevant provisions of Act No. 89/2012 Coll., the Civil Code, and other legal regulations of the Czech Republic.
-
Provisions of these GTC that apply exclusively to consumers shall not apply to a buyer who is not a consumer.
-
The fact that the buyer states a company ID (IČO) or other business details in the order may be one of the indications that they are acting within the scope of their business activity when concluding the contract. However, stating a company ID alone need not always be decisive; what is decisive is the actual purpose for which the buyer concludes the contract.
II. Offer of Goods and Conclusion of the Purchase Contract
A. Offer and Ordering of Goods
-
All goods offered by the seller are labelled with a name, where applicable technical parameters and characteristics of the goods, and a price.
-
Unless stated otherwise, prices of goods are stated including VAT at the statutory rate.
-
For individual types of goods, the seller may state information on their availability, stock levels, any discount or other commercial terms.
-
If a discount is stated for goods, the purchase price is the price after the discount has been applied, unless stated otherwise for the specific offer.
-
The display of goods in the e-shop constitutes an offer of goods, including information on their price and availability to the extent stated for the specific product.
-
The buyer places an order via the e-shop’s electronic order form.
-
Before sending the order, the buyer is allowed to check and, if necessary, change the details stated in the order.
-
By sending the order, the buyer confirms that they have read these GTC and agree with them.
-
An order sent by the buyer is binding.
-
After receiving the order, the seller will send the buyer an electronic confirmation of its receipt. The purchase contract is concluded at the moment the seller confirms the order to the buyer as accepted, unless stated otherwise in the confirmation or in the e-shop.
-
Before concluding the purchase contract, the seller may reject an order, in particular because the goods are sold out, because of an obvious error in the price or description of the goods, or for other objective reasons. The seller will inform the buyer of the rejection of the order without undue delay.
-
If a purchase contract has been concluded between the seller and the buyer, its content and terms are determined by the order, the order confirmation, these GTC and, where applicable, an individual agreement of the contracting parties.
-
The buyer may request cancellation of the order before the goods are dispatched. If the purchase contract has already been concluded, the seller will assess such a request according to the circumstances of the case; this does not affect the consumer’s statutory right to withdraw from the contract.
B. Delivery of Goods, Shipping and Payment
-
The seller delivers the goods to the address stated by the buyer in the order or in another manner specified in the order.
-
When ordering, the buyer chooses from the available delivery methods. The price of delivery is shown in the ordering process before the order is sent.
-
If the seller provides free delivery upon reaching a certain order value, this is stated in the e-shop or in the ordering process.
-
If delivery is provided free of charge, the buyer does not pay anything separately for delivery.
-
The seller will usually hand over goods it has in stock to the carrier no later than three working days after the conclusion of the purchase contract, unless a different delivery period is stated for the specific goods.
-
If the goods are not in stock, the seller will inform the buyer of the expected delivery time, if this information is known to the seller.
-
The buyer is obliged to provide the necessary cooperation to take over the goods upon delivery.
-
If the buyer fails to take over the goods without having previously withdrawn from the contract, although they were obliged to take them over, the seller may be entitled to compensation for reasonably incurred costs in accordance with the relevant legal regulations. This provision shall not be applied in a manner that would limit the consumer’s statutory rights.
-
In the case of repeated delivery caused solely by insufficient cooperation of the buyer, the seller may claim reasonably incurred costs of repeated delivery or storage, if such a claim is permitted by legal regulations.
-
The buyer may pay the purchase price by any method offered in the e-shop.
-
If the purchase price is paid in advance by bank transfer, the buyer is obliged to state the correct variable symbol or other payment identifier.
-
If packaging or shipping charges apply to a specific order, their amount must be known to the buyer before the order is sent and must be included in the total amount that the buyer confirms before sending the order.
-
Ownership of the goods and the risk of damage to the goods pass to the buyer in accordance with the relevant provisions of the Civil Code.
-
Together with the goods, the seller may provide the buyer with an invoice, delivery note, warranty certificate, instructions for use or other documentation, if provided for the goods in question.
III. Withdrawal from the Purchase Contract by the Consumer
-
If the buyer is a consumer and the purchase contract was concluded by means of distance communication, the consumer has the right to withdraw from the purchase contract without giving any reason within 14 days, unless a legal regulation provides otherwise for the specific case.
-
The withdrawal period runs from the day following the day on which the consumer or a third party designated by them, other than the carrier, takes over the goods. If the contract concerns the delivery of several types of goods or of goods consisting of several parts, the period runs from the day of taking over the last type or part of the goods.
-
The consumer may withdraw from the contract before the expiry of the period by any unequivocal statement made to the seller.
-
To meet the withdrawal deadline, it is sufficient for the consumer to send the notice of withdrawal to the seller before the relevant period expires.
-
The consumer may send the withdrawal:
-
by post to the address of the seller’s premises stated in Article I of these GTC,
-
electronically to the seller’s e-mail address stated in these GTC or on the e-shop website,
-
or in another verifiable manner.
-
-
The consumer is not obliged to state the reason for withdrawal.
-
The consumer is obliged, without undue delay and no later than 14 days after withdrawing from the contract, to send or hand over to the seller the goods received from the seller. The deadline is met if the consumer sends the goods to the seller before it expires.
-
The costs of returning the goods to the seller are borne by the consumer, unless the seller expressly assumes this obligation or unless the consumer was not properly informed before concluding the contract of the obligation to bear these costs.
-
The consumer is not obliged to return the goods in their original packaging, unless the law provides otherwise. The absence of or damage to the original packaging does not in itself entitle the seller to reject the withdrawal from the contract.
-
The consumer is liable to the seller only for any diminished value of the goods resulting from handling the goods other than as necessary to establish their nature, characteristics and functioning.
-
The consumer is entitled to try out and inspect the goods to an extent similar to what would be possible when examining the goods in a brick-and-mortar shop.
-
If, as a result of the consumer’s handling of the goods, their value is actually diminished beyond the extent stated in the previous paragraph, the seller may claim compensation for this diminished value and set the relevant amount off against the amount refunded to the consumer.
-
The seller is not entitled to charge the consumer a flat fee for checking, cleaning, repackaging or restoring the goods to a saleable condition.
-
If the consumer withdraws from the contract, the seller will refund to the consumer, without undue delay and no later than 14 days after the withdrawal, all funds received from the consumer under the contract, including the costs of delivering the goods.
-
If the consumer chose a method of delivery other than the cheapest delivery method offered by the seller, the seller will refund the delivery costs only in the amount corresponding to the cheapest delivery method offered.
-
If the goods were delivered free of charge, no separate amount for delivery is refunded, as the consumer did not pay any amount for delivery. However, the seller is not entitled to deduct its actual costs of delivering the goods to the consumer from the refunded amount.
-
The seller is not obliged to refund the funds received to the consumer before the consumer hands over the goods or proves that they have sent the goods to the seller, whichever occurs first.
-
The seller will refund the funds to the consumer using the same method by which the seller received them from the consumer, unless agreed otherwise with the consumer and provided this does not incur additional costs.
-
The consumer’s right to withdraw from the contract does not apply to the cases specified in the Civil Code, in particular to the contracts listed in Section 1837 of the Civil Code.
-
If the seller provided the consumer with a free gift together with the goods, the consumer is obliged, in the event of withdrawal from the purchase contract, to return this gift as well, unless agreed otherwise with the seller.
-
Exercising the right to withdraw from the contract does not affect the consumer’s right to claim rights arising from defective performance.
IV. Seller’s Liability for Defects of Goods and Complaints
A. Liability for Defects
-
The seller is liable to the consumer for ensuring that the goods have no defects upon takeover and comply with the purchase contract and the requirements laid down by legal regulations.
-
In particular, the seller is liable for ensuring that the goods:
-
correspond to the agreed description, type, quantity, quality and other agreed characteristics,
-
are fit for the purpose stated by the seller or for the purpose for which goods of this type are usually used,
-
correspond to a sample or model, if the quality or design was determined by a sample or model,
-
are delivered in the appropriate quantity, measure or weight,
-
meet other requirements laid down by legal regulations.
-
-
If a defect becomes apparent within one year of the consumer taking over the goods, the goods are deemed to have been defective upon takeover, unless the nature of the goods or the defect precludes this.
-
The consumer may notify a defect that becomes apparent in the goods within two years of takeover, unless a legal regulation provides otherwise.
-
For used goods, the seller is not liable for defects corresponding to the degree of previous use or wear and tear of which the consumer was properly informed when concluding the contract.
-
If a shorter period for exercising rights arising from defective performance is agreed with the consumer for used goods, it may not be shorter than one year and this fact must be properly stated in the proof of purchase.
-
The seller’s liability for defects does not apply in cases specified by law, in particular to normal wear and tear caused by ordinary use, defects caused by improper use, or defects of which the buyer was notified in advance and for which an appropriate discount was agreed.
B. Consumer’s Rights Arising from Defective Performance
-
If the goods have a defect, the consumer may request the removal of the defect under the conditions laid down in the Civil Code.
-
Depending on the nature of the defect and fulfilment of the statutory conditions, the consumer may in particular request repair or delivery of new goods free of defects, or a reasonable discount on the purchase price, or withdrawal from the purchase contract.
-
The specific right of the consumer arising from defective performance is assessed under the Civil Code, taking into account the nature of the defect, its extent and other statutory conditions.
-
If the consumer is provided with a quality guarantee beyond the statutory liability for defects, its scope is governed by the terms of that guarantee.
C. Making a Complaint
-
The consumer may make a complaint to the seller at the address:
Alexim, s.r.o., Václavkova 2, 160 00 Prague 6
or in the manner stated on the e-shop website.
-
A complaint may be made in writing, electronically or in person, if the nature of the complaint allows it.
-
When making a complaint, the buyer shall state in particular their contact details, the order number or other proof of purchase, a description of the defect and the requested method of handling the complaint.
-
Proof of purchase is not the only possible way of proving the conclusion of the purchase contract. The seller may request other reasonable documentation allowing the purchase to be verified.
-
The buyer is obliged to hand over the goods subject to the complaint to the seller to the extent necessary to assess the claimed defect.
-
When a complaint is made, the seller will issue the consumer with a confirmation containing the information required by law, in particular the date the complaint was made, its content and the requested method of handling.
-
A consumer’s complaint, including removal of the defect, must be handled and the consumer informed of its outcome no later than 30 days from the date the complaint was made, unless the seller agrees a longer period with the consumer or the law provides otherwise.
-
After the complaint has been handled, the seller will issue the consumer with a confirmation of the date and method of handling the complaint or, where applicable, a written justification for rejecting the complaint.
-
If the complaint is justified and the removal of the defect requires the goods to be sent back to the consumer, the costs associated with handling the complaint are borne by the seller to the extent laid down by legal regulations.
-
If the complaint is rejected as unjustified, the seller may claim compensation for reasonably incurred costs only in cases where legal regulations permit it.
-
The seller is the person liable to the consumer for defects of the goods. The buyer is therefore not obliged to make a complaint exclusively to the manufacturer or an authorised service centre, unless a legal regulation provides otherwise.
V. Buyer – Business
-
If the buyer is a business, the provisions of these GTC adopted solely for the purpose of consumer protection do not apply to them.
-
A business does not have a general statutory right to withdraw from a purchase contract concluded via the internet within 14 days. It may have this right only if it is expressly granted by the seller or if it arises from another legal fact.
-
The rights of a business arising from defective performance are governed by the Civil Code and the provisions of the purchase contract.
-
A business is obliged to inspect the goods to a reasonable extent after taking them over and to notify defects without undue delay after it could have discovered them during a timely and proper inspection, or without undue delay after discovering them.
-
For a buyer who is a business, the 30-day consumer period for handling complaints does not apply, unless the contracting parties have expressly agreed on its application.
-
If the seller provides a business with a quality guarantee, this guarantee is governed by the terms stated in the relevant document or purchase contract.
VI. Protection of Personal Data
-
The seller processes buyers’ personal data in accordance with applicable legal regulations, in particular Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and Act No. 110/2019 Coll., on the Processing of Personal Data.
-
Detailed information on the processing of personal data, the purposes of processing, the retention period, the rights of data subjects and other matters is provided in the separate Privacy Policy published on the e-shop website.
-
Personal data are processed in particular for the purpose of concluding and performing the purchase contract, processing the order, delivering the goods, handling complaints and fulfilling the seller’s legal obligations.
-
Under the conditions laid down by law, the seller may use personal data processors, in particular providers of payment, accounting, IT, transport and similar services.
VII. Out-of-Court Resolution of Consumer Disputes
-
Under Act No. 634/1992 Coll., on Consumer Protection, the consumer has the right to out-of-court resolution of a consumer dispute arising from the purchase contract.
-
The body competent for out-of-court resolution of consumer disputes in the area covering ordinary sale of goods is primarily the Czech Trade Inspection Authority (Česká obchodní inspekce), unless another ADR body has jurisdiction.
-
The consumer can obtain information on out-of-court resolution of consumer disputes on the websites of the Czech Trade Inspection Authority and the Ministry of Industry and Trade.
-
The seller undertakes to first seek an amicable resolution of any dispute directly with the consumer.
-
Up-to-date information on the system of out-of-court resolution of consumer disputes is available on the websites of the Ministry of Industry and Trade and the Czech Trade Inspection Authority.
VIII. Ratings and Customer Reviews
-
If the seller uses customer ratings or reviews, their collection and publication may be carried out through an external service provider.
-
If the seller sends customers a request to rate their purchase, it does so in accordance with applicable legal regulations.
-
If customer reviews are published, the seller does not allow the publication of content that is unlawful, offensive, contains personal data of third parties without their authorisation, or otherwise violates legal regulations.
IX. Final Provisions
-
These GTC are valid and effective from 1 May 2026.
-
These GTC are published on the e-shop website and are available to the buyer before the order is sent.
-
By concluding the purchase contract, the buyer confirms that they have read these GTC.
-
If any provision of these GTC is invalid or ineffective, this does not affect the validity of the other provisions.
-
The seller is entitled to amend or supplement these GTC. For a specific purchase contract, the GTC in effect at the time of conclusion of that purchase contract are decisive, unless agreed otherwise between the parties.
-
These GTC are governed by the laws of the Czech Republic.
-
The consumer’s rights arising from mandatory provisions of legal regulations are not affected by these GTC.
